Terms of Service

All orders must be submitted in writing via email, inquiry form, or a signed purchase order document. Verbal commitments do not constitute a binding order.

An order is considered accepted only when Vaccumwell provides written order confirmation, including product specifications, quantity, unit price, delivery terms and payment conditions.

Vaccumwell reserves the right to decline any order at its discretion, including orders that cannot be fulfilled due to capacity constraints, regulatory requirements, or incomplete specifications.

Order cancellations must be submitted in writing. Cancellations after production commencement may be subject to cost recovery charges proportional to the stage of production completed.

All quoted prices are in USD unless otherwise stated in the order confirmation. Prices are based on the specifications, quantity and trade terms agreed at the time of quotation.

Vaccumwell reserves the right to revise quoted prices if raw material costs, exchange rates or production conditions change materially before order confirmation. Any price revision will be communicated to the Buyer before production begins.

Production will not commence until the deposit payment has been received and confirmed. Vaccumwell is not responsible for delivery delays caused by late payment.

All bank transfer fees, including intermediary bank charges, are the responsibility of the Buyer. Payments must be received in full net of all charges.

Lead times for OEM or private label orders with customized specifications may be longer. The Buyer will be notified of the estimated delivery schedule at the time of order confirmation.

Vaccumwell ships Ex Works (EXW) Taizhou, Zhejiang, China unless otherwise agreed. The Buyer is responsible for arranging freight forwarding, import clearance and all associated logistics costs, unless a different Incoterm is specified in the order confirmation.

Vaccumwell will provide all necessary export documentation, including commercial invoice, packing list, bill of lading, and certificates of origin or compliance as required. Additional certification documents must be requested in advance.

Vaccumwell is not liable for delays caused by force majeure events, port congestion, customs clearance issues, carrier delays or other circumstances beyond our reasonable control.

All products undergo 100% final performance inspection before shipment. Vaccumwell maintains controlled production standards and motor-matching procedures to ensure batch consistency.

Products are certified to CE and RoHS standards as standard. ETL certification is available upon request for applicable models and markets. Certification documentation will be provided with the shipment.

The Buyer is responsible for inspecting goods upon receipt. Any claims regarding quantity discrepancies, visible damage or non-conformance must be submitted in writing within 7 calendar days of the delivery date, accompanied by photographic evidence and a detailed description of the issue.

Claims submitted after this period will not be accepted unless the defect is covered under the product warranty terms outlined in Section 7.

Third-party pre-shipment inspection may be arranged by the Buyer at their own cost. Vaccumwell will cooperate with reasonable inspection requests with prior notice.

This warranty covers defects that arise from manufacturing processes. It does not cover damage resulting from:

• Improper installation, operation or maintenance contrary to provided instructions
• Unauthorized modification, disassembly or repair by parties other than Vaccumwell
• Use of incorrect voltage, lubricants or accessories not specified for the product
• Normal wear and tear, consumable parts or routine maintenance items
• Damage caused during shipping, storage or handling after delivery

Valid warranty claims will be resolved at Vaccumwell's discretion by repair, replacement of defective components, or partial credit toward future orders. Return shipping costs for warranty claims are to be negotiated on a case-by-case basis.

Vaccumwell supports OEM development and private label programs for qualified buyers. Custom configurations may include product housing color, branding, labeling, packaging design and selected technical specifications.

OEM and private label projects require a written agreement specifying customization scope, tooling costs (if applicable), minimum order commitments and approval processes for samples and artwork.

The Buyer is responsible for ensuring that all branding, trademarks and intellectual property used in OEM or private label products are owned by or licensed to the Buyer. Vaccumwell will not be held liable for any third-party intellectual property infringement arising from Buyer-supplied branding materials.

Custom tooling, molds or dedicated production setups developed for a specific Buyer remain the property of Vaccumwell unless a separate written agreement transfers ownership. Tooling fees are non-refundable once production has commenced.

Vaccumwell will not supply identical OEM or private label configurations to direct competitors of the Buyer within the same market territory, subject to the terms of a signed exclusivity agreement.

All product designs, technical drawings, manufacturing processes, proprietary specifications and related intellectual property developed by Vaccumwell remain the exclusive property of Vaccumwell.

The Buyer may not reproduce, reverse-engineer, copy or disclose Vaccumwell's proprietary product designs or technical information to any third party without prior written consent.

Product images, technical documentation and marketing materials provided by Vaccumwell may be used by the Buyer solely for the purpose of promoting and selling Vaccumwell products. Any other use requires written authorization.

Buyer-supplied designs, artwork and specifications remain the intellectual property of the Buyer. By providing such materials, the Buyer grants Vaccumwell a limited, non-exclusive license to use them solely for the purpose of fulfilling the agreed order.

To the maximum extent permitted by applicable law, Vaccumwell's total liability to the Buyer for any claim arising out of or related to a specific order shall not exceed the total value of that order as stated in the order confirmation.

Vaccumwell shall not be liable for any indirect, incidental, consequential, special or punitive damages, including but not limited to loss of profit, loss of business opportunity, production downtime or reputational damage, even if Vaccumwell has been advised of the possibility of such damages.

Vaccumwell does not warrant that its products are suitable for every application. The Buyer is responsible for verifying that the selected product specifications meet their intended application requirements before placing a batch order.

Both parties agree to keep confidential any non-public business information, pricing details, product specifications, technical data and cooperation terms disclosed during the course of their business relationship.

Confidential information shall not be disclosed to any third party without prior written consent from the disclosing party, except as required by applicable law or regulatory authority.

This confidentiality obligation survives the termination of any order or cooperation agreement for a period of three (3) years following the last transaction between the parties.

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

In the event of any dispute arising out of or in connection with these terms or any order, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 calendar days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, either party may submit the matter to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules. The arbitration shall be conducted in Chinese, and the arbitration award shall be final and binding on both parties.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a competent court to protect its legitimate interests.

Vaccumwell reserves the right to update or modify these Terms of Service at any time. The revised terms will be published on our website with an updated effective date.

For ongoing cooperation partners, material changes to these terms will be communicated by email with at least 14 calendar days notice before taking effect.

Continued placement of orders after the effective date of any revision constitutes the Buyer's acceptance of the updated terms. If you do not agree to the revised terms, please contact us before placing further orders.
